Mary Powers, a Dillon, Bitar & Luther member, represents business clients in acquisitions and sales, including structuring the entity to achieve the desired tax result. She provides ongoing tax advice; advises business clients regarding employee compensation; undertakes estate planning to achieve personal and tax objectives; and handles estate administration, including post-mortem tax planning.

Ms. Powers recently devised a plan to provide incentives to employees of a limited liability company. The subsequent benefit to the employees approximated the amount realized by corporate stock options without the tax liability resulting from a capital shift. In another recent representation, she worked closely with a valuation firm to draft a report containing rationale to support an eighty-five percent discount from the value of a publicly-traded stock, which was accepted by the Internal Revenue Service.
